5.1 Payment Methods
We accept various forms of payment as indicated on our Website at the time of checkout, which may include major credit cards, debit cards, digital wallets, and other accepted payment methods. By providing payment information, you represent and warrant that:
- You are authorized to use the payment method you provide;

5.2 Pricing and Availability
All prices are subject to change without prior notice. We reserve the right to modify menu items, pricing, and availability at any time. In the event of a pricing error, we reserve the right to cancel orders placed at incorrect prices and will notify affected customers promptly.
5.3 Refunds and Cancellations
Due to the perishable nature of food products, our refund and cancellation policy is as follows:
- Orders may be cancelled before they are confirmed or prepared. Once preparation has begun, cancellations may not be accepted.
- Refunds for food quality issues, missing items, or errors in your order will be evaluated on a case-by-case basis. Please contact us within a reasonable time of receiving your order if you experience any issues.
- Refunds, if approved, will be processed through the original payment method within a reasonable timeframe, subject to your financial institution's processing times.
- Promotional credits, loyalty points, or gift card balances may have additional restrictions as communicated at the time of issuance.

- If you or a member of your party has a food allergy, intolerance, or dietary restriction, it is your responsibility to inform us at the time of ordering and to verify the suitability of any menu item before consumption.
- Nutritional information provided on our Website is approximate and may vary based on portion size, preparation methods, ingredient substitutions, and other factors.
- We strongly encourage customers with serious food allergies to contact us directly before placing an order to discuss their specific needs and the risks associated with consuming our products.
- Dions shall not be liable for any adverse reactions, health issues, or damages arising from the consumption of our food products where you have failed to disclose known allergies or dietary restrictions, or where such information was reasonably communicated by us.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Dions, its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if Dions has been advised of the possibility of such damages, arising out of or in connection with:

In no event shall Dions's total cumulative liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of: (a) the total amount paid by you to Dions in the twelve (12) months preceding the claim giving rise to liability, or (b) one hundred U.S. dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. Accordingly, some of the above limitations may not apply to you to the extent prohibited by applicable state law.
8. Disclaimers — "As-Is" Basis
OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DIONS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- Our Website or Services will be uninterrupted, error-free, or secure;

- The quality of any products, services, information, or other materials obtained through our Services will meet your expectations;
- Any errors in our Website or Services will be corrected; or
- Our Website is free of viruses or other harmful components.
We do not endorse or assume any responsibility for any third-party websites, services, or content that may be linked to or from our Website. Your use of any third-party websites or services is at your own risk and subject to the terms and conditions of those third parties.
References to products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation by Dions.
9. Indemnification
You agree to defend, indemnify, and hold harmless Dions and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, actions, demands, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of or access to our Website or Services;
- Your violation of these Terms or any applicable law, rule, or regulation;
- Your violation of any third-party rights, including intellectual property rights, privacy rights, or proprietary rights;
- Any content or information you submit, post, or transmit through our Services;
- Your negligent or intentional misconduct; or
- Any dispute between you and a third party arising from your use of our Services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You agree not to settle any matter without our prior written consent.
10. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Dions is registered and operates, without regard to its conflict of law provisions. The Federal Trade Commission Act (FTC Act) and applicable federal consumer protection laws shall also apply to the extent required.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be brought exclusively in the appropriate federal or state courts of competent jurisdiction in the United States. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection that you may have to the laying of venue in such courts.
If you are located in California, please note that your rights may also be governed by the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) with respect to personal data, as further described in our Privacy Policy.
11. Dispute Resolution
11.1 Informal Resolution
Before initiating any formal dispute resolution process, we encourage you to contact us first. Most concerns can be resolved quickly and informally. Please contact us at [email protected] with a detailed description of your concern. We will make good-faith efforts to resolve the issue within thirty (30) days of receiving your notice.
11.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof (other than claims that qualify for small claims court), shall be resolved by binding arbitration administered by a recognized arbitration organization, such as the American Arbitration Association (AAA), in accordance with its Consumer Arbitration Rules then in effect.
The arbitration shall take place in the United States, and the arbitrator shall apply the substantive law of the applicable state or federal law as required by these Terms. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
11.3 Class Action Waiver
YOU AND DIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Dions agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
11.4 Exceptions
Notwithstanding the above, either party may seek emergency equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Additionally, claims that qualify for small claims court may be brought in that forum without resorting to arbitration.
12. Term and Termination
These Terms shall remain in full force and effect while you use our Website or Services. We reserve the right, in our sole discretion, to:
- Suspend or terminate your account or access to our Services at any time, for any reason, including but not limited to violation of these Terms;
- Remove or disable any content that we believe, in our sole discretion, violates these Terms or applicable law;
- Pursue any other remedies available to us at law or in equity.
Upon termination of your account, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
If you wish to terminate your account, you may do so by contacting us at [email protected] and requesting account deletion. Termination of your account will not relieve you of any payment obligations or other liabilities that arose prior to termination.
13. Changes to Terms
We reserve the right to modify, update, or revise these Terms of Service at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. In certain circumstances, we may provide additional notice of material changes, such as by sending an email notification to the address associated with your account or by posting a prominent notice on our Website.
It is your responsibility to review these Terms periodically to stay informed of any changes. Your continued use of our Website or Services following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree with the revised Terms, you must discontinue your use of our Website and Services immediately.
We will not make retroactive changes to these Terms that materially and adversely affect your existing rights without providing reasonable prior notice and, where required by applicable law, obtaining your consent.
14. Third-Party Services and Links
Our Website may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Dions. We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. We do not warrant the offerings of any third parties or their websites.
Your use of third-party services, including payment processors, delivery platforms, and mapping services, is subject to those third parties' respective terms of service and privacy policies. We encourage you to review those terms before using such services.
The inclusion of any link on our Website does not imply our endorsement or approval of the linked site or service. Use of any linked website or service is at your own risk.
15. Privacy and Data Protection
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, share, and protect your personal information in connection with your use of our Services.
To the extent applicable, we comply with the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) for users who are California residents, as well as other applicable United States federal and state privacy laws. Please review our Privacy Policy for more information about your privacy rights and choices.
16. Force Majeure
Dions shall not be liable for any failure or delay in performing our obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government restrictions, war, terrorism, labor disputes, supply chain disruptions, power outages, internet failures, or any other similar event ("Force Majeure Event").
In the event of a Force Majeure Event, we will make reasonable efforts to notify you and to resume performance as soon as reasonably practicable after the Force Majeure Event has ended.
17. Electronic Communications and Consent
By creating an account or using our Services, you consent to receive electronic communications from Dions, including emails, text messages (where you have opted in), and notices posted on our Website. These electronic communications may include transaction confirmations, account updates, promotional offers, policy updates, and other information related to our Services.
You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing. You may opt out of promotional communications at any time by following the unsubscribe instructions included in those communications or by contacting us at [email protected].
18. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Dions on our Website, constitute the entire agreement between you and Dions with respect to your use of our Website and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
Any failure by Dions to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The waiver of any right or provision shall be effective only if in writing and signed by a duly authorized representative of Dions.
19. Severability
If any provision of these Terms of Service is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified or severed to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.
In particular, if the class action waiver set forth in Section 11.3 is found to be unenforceable, then the entirety of the arbitration agreement in Section 11.2 shall be null and void, and the dispute shall be resolved through litigation in a court of competent jurisdiction rather than through arbitration.
20. Assignment
You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. Dions may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, or other corporate transaction.
21. No Third-Party Beneficiaries
These Terms are for the benefit of you and Dions only, and not for the benefit of any other person or entity. Accordingly, these Terms shall not create any rights in any third party, and no third party shall be entitled to enforce any provision of these Terms against you or Dions.
22. Consumer Rights Under Applicable Law
Nothing in these Terms shall limit or exclude any consumer rights that cannot be excluded or limited under applicable federal or state law. Consumers in certain states may have additional rights not described herein. For example:
- California Residents: Under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), California residents have specific rights regarding their personal information, including the right to know, the right to delete, and the right to opt-out of the sale of personal information. Please refer to our Privacy Policy for details.
- All U.S. Consumers: The Federal Trade Commission Act (FTC Act) prohibits unfair or deceptive acts or practices in commerce. Our practices are designed to comply with FTC guidelines and requirements.
23. Accessibility
Dions is committed to making our Website accessible to all users, including individuals with disabilities. We strive to comply with applicable accessibility standards. If you encounter any accessibility barriers on our Website, please contact us at [email protected] and we will make reasonable efforts to address your concerns.
